Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of GiraShare, a proxy bandwidth reselling service operated by Giraffos SpA, a company incorporated in the Republic of Chile. By creating an account or using our services, you agree to be bound by these Terms.

2. Service Description

GiraShare provides proxy bandwidth reselling services, including residential, datacenter, and mobile proxy access. We act as a reseller of proxy infrastructure, providing you with authenticated access to proxy networks for legitimate business purposes such as web scraping, ad verification, market research, SEO monitoring, and brand protection.

3. Acceptable Use Policy

You agree to use GiraShare services only for lawful purposes. The following activities are expressly permitted:

• Web scraping in compliance with target website terms of service
• Ad verification and fraud detection
• SEO monitoring and rank tracking
• Market research and price comparison
• Brand protection and intellectual property monitoring
• Social media management tools
• Academic research

You are responsible for ensuring your use complies with all applicable local, national, and international laws and regulations.

4. Prohibited Uses

The following uses of our service are strictly prohibited and will result in immediate account termination:

• Distributed Denial of Service (DDoS) attacks or any form of network disruption
• Unauthorized access to computer systems or networks (hacking)
• Distribution, storage, or access to child sexual abuse material (CSAM)
• Spamming, phishing, or any form of unsolicited bulk messaging
• Illegal scraping that violates applicable laws (e.g., CFAA, GDPR)
• Fraud, identity theft, or financial crimes
• Circumvention of security measures or authentication systems
• Credential stuffing or brute force attacks
• Any activity that violates the laws of Chile or the user's jurisdiction
• Reselling or redistributing proxy access to third parties without authorization

5. Account Terms

• You must provide accurate and complete information when creating an account.
• You are solely responsible for maintaining the security of your account credentials, including your password and API keys.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• You may not share your account credentials with third parties.
• One person or entity may not maintain more than one account without prior approval.

6. Payment Terms

• GiraShare operates on a pay-as-you-go model. You purchase bandwidth credits that are consumed as you use the proxy service.
• All payments are processed securely through Stripe. We do not store your full credit card information on our servers.
• Prices are listed in US Dollars (USD) unless otherwise specified.
• Bandwidth that has been consumed is non-refundable, as it represents a consumed resource.
• Unused bandwidth may be refunded within 24 hours of purchase. See our Refund Policy for details.
• We reserve the right to change pricing with 30 days notice to existing customers.

7. Service Availability

GiraShare strives to maintain high service availability. We target 99.9% uptime, but do not guarantee it at this time. Our service is provided on a best-effort basis. We may experience downtime for maintenance, upgrades, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance in advance. We are not liable for any losses resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• GiraShare and Giraffos SpA shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim arising from the use of our service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for any losses resulting from third-party actions, including the proxy infrastructure providers we utilize.
• The service is provided "as is" and "as available" without warranties of any kind, express or implied.

9. Termination

• You may terminate your account at any time by contacting us or using the account settings.
• We reserve the right to suspend or terminate your account immediately, without notice, if you violate these Terms of Service.
• Upon termination for Terms violation, any remaining balance may be forfeited.
• Upon voluntary termination, unused bandwidth credits may be refunded at our discretion.
• Sections regarding limitation of liability, governing law, and dispute resolution survive termination.

10. Intellectual Property

The GiraShare name, logo, and all associated branding are the intellectual property of Giraffos SpA. You may not use our trademarks without prior written consent. The service software, APIs, and documentation are protected by copyright and other intellectual property laws.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the service after the changes become effective constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from these Terms or the use of our services shall be submitted to the jurisdiction of the courts of Santiago, Chile.
